English and Russian versions are provided. In case of any discrepancy, the Russian version prevails (the document is governed by the law of the Republic of Kazakhstan).

This document is an official public offer by Public company MusharaqaHUB PLC, BIN 260140901516 (the "Provider"), addressed to individuals and legal entities (the "User"), to conclude a contract for access to the MusharaqaHub software on the terms set out below.
In accordance with Articles 395–396 of the Civil Code of the Republic of Kazakhstan, payment for the services under this offer (acceptance) constitutes the User's full and unconditional agreement to all of its terms.
2.1. The Provider grants the User a limited licence to use the Platform and renders services for the digital processing of data about an IP object, in the scope of the selected modules and stages indicated on the website and in the invoice.
2.2. The Platform provides software tools for working with information and documents only. The Provider is not a financial institution, does not carry out transactions with money, securities or digital assets, does not issue or enable the circulation of digital assets, does not provide investment, brokerage, insurance or capital-placement advisory services, and does not guarantee the User any profit or other financial result.
2.3. All decisions made by the User based on the Platform's data are the User's own decisions.
3.1. The base cost of access to the Platform is 15 000 USD. The final cost and scope of services are determined based on the analysis of the IP object and fixed in the invoice and/or an additional agreement.
3.2. Payment is made by bank card (Visa, Mastercard and other supported cards) via internet acquiring. Card settlements are made in tenge (KZT) at the rate of the National Bank of the Republic of Kazakhstan on the payment date.
3.3. Payment is processed through the PayLink internet-acquiring system in a secure manner; the User's bank-card data is not transferred to or stored by the Provider.
3.4. Payment is made in tranches: the first tranche is a prepayment, the following ones are made in accordance with the payment schedule fixed in the invoice and/or an additional agreement. By agreement of the Parties, a one-time payment is possible.
3.5. The payment obligation is deemed fulfilled upon receipt of funds to the Provider's account. An electronic document confirming payment is sent to the User.
4.1. After payment is received, the Provider grants the User access to the Personal account and the relevant Platform modules within up to 3 (three) business days.
4.2. Processing of data about the IP object is carried out in stages in accordance with the description on the website. The timing of the stages is agreed by the Parties.
5.1. The User undertakes to provide accurate data and documents, to hold the necessary rights to the transferred IP objects, and to use the Platform in accordance with its purpose and the laws of the Republic of Kazakhstan.
5.2. The Provider undertakes to maintain the Platform's operability and technical support during the licence term, and to keep the data provided by the User confidential.
5.3. The Provider may refuse or suspend access if the User breaches the terms of this offer or the laws of the Republic of Kazakhstan.
The terms and timeframes of refunds are governed by a separate document — the Refund Terms, which forms an integral part of this offer.
Personal data is processed in accordance with the laws of the Republic of Kazakhstan and the Privacy Policy.
8.1. The Platform is provided "as is". The Provider is not liable for decisions made by the User based on the results of data processing.
8.2. The Provider's aggregate liability is limited to the amount actually paid by the User under the relevant invoice.
9.1. The offer is valid from the moment of publication until it is withdrawn by the Provider. The Provider may amend the terms of the offer; amendments take effect upon publication of the new version.
9.2. Disputes are resolved through negotiation and, failing agreement, in the manner established by the laws of the Republic of Kazakhstan.
